Ziegler announced it closed more than $193 million in Series 2022A, 2022B and 2022C bonds for Westminster Canterbury Richmond.

Westminster is a nonprofit that owns and operates a life plan community in Richmond, Va. known as Westminster Canterbury Richmond.

One of the first life plan communities to open in Virginia, Westminster Canterbury has become one of the largest single-site campuses in the country with 809 total units including 487 independent living units, 164 assisted living units, 158 nursing units, according to Ziegler.

The bonds will be used in part to expand the campuss independent living offerings and fund a new fitness and wellness center.

Focusing On Board And Management Duties Guidance From Nys Attorney General Sets Roadmap For Sale Of Not

The Charities Bureau of the New York State Attorney Generals Office has issued new guidance on requirements for the sale of not-for-profit nursing homes under the New York State Not-for-Profit Corporation Law . The Guidance Statement focuses squarely on the Attorney Generals expectations for boards of directors and executive management as they consider, plan, and petition the Charities Bureau for approval to sell a not-for-profit nursing home. While targeted to the sale of nursing homes, the Guidance Statement sets forth standards and a process with broad implications for the sale of other not-for-profit provider entities.

NPCL Sections 511 and 511-A require the Attorney General, and/or the New York Supreme Court, to review sales where a not-for-profit sells all or substantially all of its assets. That review requires a determination that: the seller is receiving fair value for the sale without taking on excessive risk and the sale of the assets will promote the mission and purposes of the charity. The Charities Bureau of the Attorney Generals Office is charged to oversee the proposed sale of not-for-profit entities.

The Charities Bureau specified best practices for a not-for-profit Board, along with the management team and professional advisors, to follow when considering the sale of a not-for-profit facility. As suggested by the Guidance Statement, the Charities Bureau is likely to scrutinize the following, among other areas:

Medicaid Income Rules In Indiana

In Indiana, a single person can have a monthly income up to only $2,349 in 2020 and qualify for Medicaid-paid nursing home care. The Medicaid income limit for a married couple, with both spouses applying, is $4,698 per month in 2020. These LTC income limits may be higher than the income limit for those applying for other health care benefits from Medicaid.

For purposes of determining Medicaid LTC eligibility, any income an applicant receives, from any source, is considered. However, when only one spouse of a married couple applies for Medicaid, the income of the non-applicant spouse is not counted, so that he or she has enough funds on which to live. Additionally, the non-applicant spouse is entitled to a minimum monthly needs allowance, which may range from $2,113.75 to $3,216.

If you qualify for Medicaid and live in a nursing home, you will be expected to spend almost all income on your care. Indiana Medicaid allows nursing home residents receiving Medicaid to keep only $52 per month as a personal needs allowance.

Acquisition Market Continues To Be On Fire For Nursing Homes

Despite low occupancy rates and uncertainty around federal funding, experts say the market for nursing homes has not slowed, as buyers want to get in on the frenzy and are willing to pay near stabilized rates to do so.

Some, like Symphony Care Network, with a portfolio that totals more than 30 properties throughout Illinois, Indiana, Wisconsin and Michigan, are finding opportunities with smaller, single operators looking to partner up or get out of the business altogether.

The Chicago-based operator was recently part of a transaction to acquire two skilled nursing facilities and one supportive living facility in Chicago for $48.95 million, Chicago-based specialty investment bank Ziegler announced last month.

I think that youre running into situations where a family-owned operator got hit with COVID-19 and are saying to themselves that theyd like to attach themselves to a larger organization or that its time to get out and thats part of the frenzy in the market, Michael Munter, Symphony Care Network chief operating officer, told Skilled Nursing News.

He has seen the market inundated with operators looking to sell that are tired, exhausted and financially drained coming out of the pandemic.

A lot of these owner/operators, particularly the ones that were interested in acquiring, have no interest in selling to someone thats unnamed, Munter said. It is very much their baby and it might have been in their family for one, two, perhaps even three generations.

Ziegler Closes $441m Deal For The Forest At Duke $175m Snf Sale In Indiana

Chicago-based specialty investment bank Ziegler last week announced it closed on $44,415,000 Series 2021 Bonds for a 47-acre CARF Accredited not-for-profit continuing care retirement community in Durham, North Carolina.

Based just south of Duke University in Durham, North Carolina, The Forest at Duke opened in 1992 and serves as a Type B life care community for over 360 residents across 154 apartments, 88 cottages , 34 assisted living units and 58 licensed skilled nursing beds.

The bonds will reportedly be used to fund a replacement health and wellness center that will include 90 new units in a small house format in a five-story building an approximately 110,000 square feet.

Each household will reportedly consist of 10 private rooms and include a living room, kitchen, and dining room as well as a den and covered balcony.

Ziegler reportedly closed the transaction in 52 days.

    Slib Facilitates Sale Of Indiana Nursing Home Cfg Secures $172m Bridge

    Vincennes, Ind.-based skilled nursing facility GentleCare of Vincennes was sold to The Strategies, an Indiana based owner/operator with other communities in the state, Senior Living Investment Brokerage announced.

    The 60 licensed bed, with 52 currently functional, facility reportedly has one of the longest running five-star designations in the state, according to SLIB.

    The seller, a private mom and pop organization, was looking to retire and SLIB procured multiple offers for the facility before The Strategies was selected, according to a news release.

    This transaction presented an opportunity for the private owner to sell and retire, SLIB Managing Director Ryan Saul said in the news release. After years of contemplating a potential sale, the time and circumstances were right when The Strategies came along.

    Cibc Bank Closes $76m Deal

    CIBC Bank USA closed a 60 million term loan to refinance a previous loan for the purchase of three distressed California properties, two of which are skilled nursing facilities, the Chicago-based bank announced this week.

    CIBC completed the deal on behalf of a California-based operator.

    The $76 million transaction included a $16 million working capital facility that will reportedly be used across 13 properties in the operators portfolio.
